Reports to Head of Corporate Legal

Legal Counsel Manager is a key role in Region Middle East and Africa directly reporting to Legal Headquarter in Germany. You will be based in Dubai, UAE, with occasional travelling within the Region, primarily in Africa.

What you can expect

As a Legal Counsel Manager, you will leverage your expertise to oversee the regional administration of and manage together with regional management projects with a strong focus on corporate law, including incorporation of new entities, joint ventures and M&A activities in Region Middle East, primarily in Africa. You will collaborate closely with the business teams rest of the legal and to ensure that legal best practices align with business objectives. Your responsibilities will also include informing business personnel about company policies and practices, conducting research, analyzing information for decision-making, and presenting concise summaries and/or legal opinions. Additionally, you will assist in managing data tools utilized by the Legal Department, as well as supporting the steering of outside counsel.

In this role, you will contribute to the Legal Department’s mission of delivering high-quality corporate legal services to internal clients, primarily in Africa.

Your tasks and responsibilities

  • Assisting regional management to steer and manage projects within the Region, primarily in Africa.
  • Provide legal advice on and support in a range of corporate, commercial, and regulatory matters related to the shipping industry and advise management on potential legal risks.
  • Together with local management monitor changes in laws, regulations, and industry standards affecting the company and advise on necessary adjustments.
  • Prepare and organize legal documents.
  • Perform company secretarial duties including resolutions, powers of attorney, license renewals.
  • File and update corporate files and documents both internally and with the relevant authorities ensuring corporate governance compliance.
  • Research and advice on jurisdictional laws and regulations in relation to corporate legal matters.
  • Develop corporate documents, letters, legal opinions, and notices which are referred to the legal department.
  • Assist the legal department team in maintaining complete corporate files by updating the legal portal of the Legal Department.
  • Answer other department’s request and inquiries.
  • Prepare and draft general assembly meeting, shareholder resolutions, and minutes of shareholders meetings as the case may be with outside counsel support.
  • Function as point of entry for the Legal Department on matters assigned to other colleagues in other regions/headquarter.
  • Additional legal corporate duties as may be assigned by the Legal Department.

Your qualifications

  • Bachelor’s Law Degree, Master’s degree is an advantage.
  • 4+ years of experience as a legal counsel with a law firm or company in-house law department.
  • Demonstrable experience with transactional and corporate legal work. Experience in dispute resolution is an advantage.
  • Experience in shipping, logistics or transportation business is highly desirable. Africa-focus is most welcome.
  • Proficient in Microsoft Office Suite of tools, with specific experience in Power Point, Excel and database creation and maintenance.
  • Process-driven, detail oriented, self-motivated and analytical.
  • Effective oral and written communication and organization skills.
  • Self-starter with good problem-solving skills and a client service focus.
  • Language skills: English (fluent), French, Arabic is an advantage.
