Hanseatic Global Terminals (HGT) is the new Terminal & Infrastructure Division of Hapag-Lloyd, founded in 2023. HGT delivers streamlined terminal operations for all shipping line customers and brings together a portfolio of 20 port terminals and complementary logistics services in 11 countries and on four continents: Europe, the Americas, Asia and Africa. We will be pursuing growth and set ourselves the target of operating 30 terminals by 2030.

Tasks and Responsibilities

As Head of Compliance within the HGT you ensure the effective functioning of HGTs compliance management system, company secretary, legal support, risk management, governmental and regulatory affairs.  

Compliance

  • Overall responsible for the design, development, implementation and improvement of the HGT compliance management system and compliance policies for the scopes of anti-bribery, anti-corruption, competition law, fraud prevention, embargo and sanction;
  • Establishing clear objectives for HGT compliance function;
  • Providing advice to HGT Management Board to set correct tone from the top;
  • Developing, implementing and improving third-party management program of HGT;
  • Developing and implementing reporting and investigation program of HGT;
  • In line with M&A Group department, managing all HGT merger and acquisition compliance integrations;
  • Providing guidance to Assets and Terminal Compliance Officers as an extension of HGT HQ compliance function;
  • Ensuring effective internal communication and education of compliance requirements by providing internal compliance reporting, management communication, regular training and advisory services;
  • Handling any government inquiries and enforcement actions related to Compliance Scope;
  • Managing legal or criminal proceedings derived from internal investigations or external enforcement actions.

Company Secretary

  • Organizing HGT Management Board meetings and other corporate meetings;
  • Producing agenda, taking minutes and handling correspondences of HGT Management Board meetings;
  • Preparing HGT Management Board resolutions;
  • Ensuring HGT Management Board resolutions are implemented;
  • Communicating HGT Management Board’s decisions to relevant stakeholders;
  • Maintaining statutory books, e.g., registers of members, directors and secretaries.

Governmental and regulatory affairs

  • Developing and implementing unified strategy to manage relationship with relevant government bodies across HGT and its subsidiaries;
  • Managing relationships with government bodies for HGT directly and together with HGT subsidiaries;
  • Managing, coordinating and documenting internal regulatory processes, e.g., licenses, registrations, inspections, etc.;
  • Monitoring licenses and registrations applications and renewals of HGT subsidiaries;
  • Monitoring legislation and regulatory matters affecting HGT and its subsidiaries;
  • Balancing regulatory concerns, commercial objectives, compliance and costs;
  • Advising HGT Management Board on regulatory matters;
  • Managing regulatory reporting, including but not limited to sustainability, ESG and CSRD reporting.

Legal Support

  • Providing primary contract legal support to whole HGT organization;
  • Acting as a bridge between Hapag-Lloyd AG Legal department and HGT organization for complicated legal issues;
  • Providing first legal review during contract negotiations.

Risk Management

  • Acting as risk manager to conduct periodic risk assessment of HGT and its subsidiaries in identifying risk and assessing related impacts;
  • Developing strategies to minimize or mitigate identified risks;
  • Coordinating with different functions within HGT and its subsidiaries or Hapag-Lloyd AG stakeholders to develop and implement detailed risk mitigation measures and controls in addressing the identified risks;
  • Reporting to HGT Management Board of identified risks and mitigation implementation.

Your Profile

  • Degree holder in finance, law or related disciplines is preferable;
  • 10 years related experience in General Compliance;
  • Familiar with global rules and regulations and specific Dutch law and regulations (EU);
  • Excellent analytical, communication, and interpersonal skills;
  • Ability to work effectively in a fast-paced and dynamic environment;
  • Able to work independently, self-motivated with strong sense of responsibility and analytical mind.
